Enterprise M3 Growth Fund

The Enterprise M3 Growth Fund invests in high growth small and medium sized businesses (smes) and can provide up to £175,000 as an equity investment. The investment must be matched by at least an equal amount of private investment, which the FSE Group can work with the company to source.

Key Features

Amount: £75,000 – £175,000 (excluding matching investment).

Business Location: material part of its operations in areas of Surrey or Hampshire covered by the Enterprise M3 Local Enterprise Partnership.

The investment will be structured as an equity instrument, such as a convertible loan note or preferred ordinary shares.

Security: None

Fees and Charges:

  • Arrangement fee of 2.5% of the investment value
  • Monitoring fee of 2-4% per annum

Eligibility

Investee Companies will be expected to demonstrate the potential for high growth and will typically display the following characteristics at the time the investment is made:

  • either have headquarters or a material part of the business in parts of Surrey and Hampshire which are covered by the Enterprise M3 LEP
  • some existing sales and customers or credible near term prospects for making such sales
  • not be a turnaround
  • a credible business strategy to deliver significant growth
  • a viable product or service with clear market potential
  • a sustainable competitive advantage with supporting intellectual property rights as necessary
  • a committed management team with relevant background
  • financial projections clearly showing application of funds
  • a realistic exit strategy with potential to be achieved within 5 years

Exclusions: The fund will only invest in companies which meet the EU definition of an SME.

Refinancing of existing loans or creditors, and the financing of acquisitions or turnarounds are not eligible.
